OrgTree — Terms of Use

1. Agreement to these terms
1.1 These Terms of Use ("Terms") govern your access to and use of the OrgTree website and application at orgtree.co.nz and related services (the "Service").
1.2 By accessing or using the Service, you agree to these Terms. If you don't agree, don't use the Service.
1.3 If you use the Service on behalf of an organisation, you confirm you're authorised to bind that organisation, and "you" means that organisation.
2. The Service
2.1 OrgTree lets you search and visualise information from the New Zealand Companies Register and the New Zealand Business Number Register as interactive graphs, and annotate those visualisations with your own notes and elements.
2.2 The Service is provided for lawful business, research and due-diligence purposes.
2.3 We may change, suspend or discontinue any part of the Service at any time.
3. Accounts
3.1 You can explore the Service without an account. An account (created via email one-time code or Google sign-in) is only required to save work to your profile.
3.2 You're responsible for activity under your account and for keeping your sign-in secure. Tell us promptly at admin@orgtree.co.nz of any unauthorised use.
3.3 You may delete your account at any time; see the Privacy Policy for what that entails.
4. Licence to use the Service
4.1 Subject to these Terms, we grant you a non-exclusive, non-transferable, revocable licence to use the Service for your own internal business or personal use.
4.2 You must not resell, sublicense or make the Service available to third parties except as expressly permitted, or as it naturally functions (e.g. exporting a file you created).
5. Register data and MBIE terms (important)
5.1 Company and person information shown in the Service is sourced from the New Zealand Companies Register and the New Zealand Business Number Register via the Ministry of Business, Innovation & Employment ("MBIE") APIs ("Register Data"). Register Data remains the property of the New Zealand Government and/or the relevant Ministry or agency.
5.2 Flow-down of MBIE terms. Because we provide Register Data to you under our agreement with MBIE, you agree that when you access, use, display or further share Register Data (including any you export from the Service), you will:
(a) not use Register Data in any way that is contrary to law, including the legislation under which the registers are established and administered and the Privacy Act 2020;
(b) not use or display Register Data on any website or in any manner that: incites hatred; promotes or facilitates violence, terrorism or illegal activity; discriminates against or exploits any group; is misleading, pornographic or defamatory; or infringes any individual's privacy;
(c) keep intact any acknowledgement that MBIE / the relevant New Zealand register is the source of the data, including the source statement and search date/time shown with the data;
(d) if you charge any fee to others for Register Data that can be obtained for free directly from the register, ensure that fee is reasonable;
(e) not remove any copyright, trade mark or proprietary notices, and not use MBIE's trade marks or logos; and
(f) report any errors or omissions you find in Register Data to MBIE at apisupport@business.govt.nz.
5.3 MBIE's direct enforcement rights. You acknowledge and agree that the obligations in section 5.2 are for the benefit of MBIE as well as OrgTree, and that MBIE may directly enforce those obligations against you as if it were a party to these Terms. This section is intended to give MBIE enforceable rights under the Contract and Commercial Law Act 2017 (Subpart 1 of Part 2).
5.4 No warranty on Register Data. Register Data is provided "as is". It may be inaccurate, incomplete or out of date, and reflects the register only as at the search date/time shown. Neither OrgTree nor MBIE is liable for any reliance on it, any inaccuracy or incompleteness, or any change to it.
5.5 If you supply Register Data to any third party, you must ensure they're bound by terms no less protective of MBIE than these, including MBIE's direct enforcement rights.
6. Your content
6.1 "Your Content" means notes, labels, custom nodes/links and other material you add in the Service. You keep ownership of Your Content.
6.2 You grant us a licence to host, store, process and display Your Content solely to operate the Service for you.
6.3 You're solely responsible for Your Content, and you warrant it is not unlawful, defamatory, misleading, or infringing, and does not misuse any personal information (including Register Data) in breach of the Privacy Act 2020.
7. Acceptable use
You must not: (a) use the Service unlawfully or to facilitate unlawful activity; (b) build a profile of, harass, or infringe the privacy of any individual; (c) scrape, bulk-extract, overload, or circumvent rate limits or access controls; (d) attempt to bypass any security mechanism or gain unauthorised access; (e) misrepresent the source, accuracy or currency of Register Data; or (f) use the Service to create anything defamatory, obscene, or that brings OrgTree or MBIE into disrepute.
8. Intellectual property
8.1 We (and our licensors) own all rights in the Service, including its software, design, and branding. These Terms grant no rights in them except the licence in section 4.
8.2 Register Data and related intellectual property belong to the New Zealand Government and/or MBIE (see section 5).
9. Fees
9.1 The Service is currently free to use. If we introduce paid features, we'll set out the charges before you incur them. Any fee for data available free from the register will be reasonable (section 5.2(d)).
10. Disclaimers
10.1 To the maximum extent permitted by law, the Service and all content (including Register Data) are provided "as is" and "as available", without warranties of any kind, express or implied, including implied warranties of merchantability and fitness for a particular purpose.
10.2 We don't warrant that the Service will be uninterrupted, error-free, or that defects will be corrected.
10.3 The Service is not legal, financial or professional advice.
11. Limitation of liability
11.1 To the maximum extent permitted by law, OrgTree will not be liable for any indirect, incidental, special or consequential loss, or loss of profits, data, goodwill or anticipated savings, arising from or in connection with the Service or Register Data.
11.2 Our total aggregate liability arising out of or in connection with these Terms is limited to the amount you paid to OrgTree Limited in the 12 months before the claim.
11.3 If you use the Service for business purposes, you agree the Consumer Guarantees Act 1993 does not apply. Nothing in these Terms limits liability that cannot be limited by law.
12. Indemnity
You indemnify OrgTree (and, to the extent relevant, MBIE) against all loss, damage, cost and expense (including legal costs) arising from your breach of these Terms (including section 5), Your Content, or your use of the Service or Register Data.
13. Suspension and termination
13.1 We may suspend or terminate your access at any time if you breach these Terms or if required to comply with our obligations to MBIE.
13.2 On termination, your licence ends and you must stop using the Service and (where applicable) delete any Register Data obtained through the Service, consistent with our obligations to MBIE.
14. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified via the Service or by email. Continued use after changes take effect means you accept them.
15. Privacy
Our handling of personal information is described in OrgTree’s Privacy Policy, which forms part of these Terms.
16. General
16.1 These Terms are governed by New Zealand law, and the New Zealand courts have non-exclusive jurisdiction.
16.2 If any provision is unenforceable, it is severed and the rest remains in effect.
16.3 You may not assign these Terms without our consent. We may assign them to a successor of our business.
16.4 These Terms (with the Privacy Policy) are the entire agreement between us about the Service.
